Terms of Service

1. Acceptance of Terms

By accessing or using Synapki ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

2. Service Description

Synapki is a software-as-a-service (SaaS) platform that provides AI-powered knowledge management tools. The Service includes:

  • A browser extension (Chrome, Firefox) for clipping web content
  • AI-powered processing to automatically generate organized wiki pages
  • Integration with your personal cloud storage (Google Drive, Dropbox, OneDrive) to store wiki content
  • A web application for managing your account, subscription, and settings

Zero-Storage Architecture: Synapki does not store your wiki content on our servers. All wiki pages are written directly to your own cloud storage. We process content in memory only — we never copy, cache, or persist your wiki data on our infrastructure.

3. Account Registration

To use the Service, you must create an account. You agree to:

  • Provide accurate and complete registration information
  • Maintain the security of your account credentials
  • Notify us immediately of any unauthorized access
  • Accept responsibility for all activities under your account

You must be at least 18 years old to create an account. By registering, you represent that you meet this requirement.

4. Subscription Plans & Pricing

We offer the following subscription tiers. All prices are in USD:

  • Free: $0/month — 30 clips/month, 10 AI queries/day
  • Pro: $10/month (billed monthly) or $96/year (billed annually) — 500 clips/month, 200 AI queries/day
  • Team: $30/month per seat (billed monthly) or $288/year per seat (billed annually) — 3,000 clips/month, 1,000 AI queries/day

Current pricing is always available on our pricing page. We reserve the right to change pricing with 30 days' notice via email. Existing subscriptions retain their current rate until renewal.

5. Payment & Billing

All payments are processed through Stripe, a PCI DSS Level 1 certified payment processor. By subscribing to a paid plan, you authorize us to charge your payment method on a recurring basis according to your selected billing cycle (monthly or annual).

If a payment fails, we will retry the charge and notify you via email. Continued payment failure may result in account suspension.

6. Free Trial

The free tier provides 30 clips per month and 10 AI queries per day at no cost. No payment information is required. This is not a time-limited trial — you may use the free tier indefinitely.

7. Cancellation & Refunds

Cancellation: You may cancel your subscription at any time from your account settings. Cancellation stops future billing but does not provide a refund for the current billing period. Your paid access remains active until the end of the billing cycle.

Refunds: We offer full refunds within 14 days of purchase for new subscriptions. After 14 days, refunds are available only for documented service outages exceeding 24 hours or duplicate charges. See our Refund & Dispute Policy for full details.

8. User Responsibilities

  • Maintain valid OAuth connections to your cloud storage provider
  • Comply with the terms of your cloud storage provider (Google, Dropbox, Microsoft)
  • Not use the Service for illegal purposes or to store illegal content
  • Not attempt to reverse-engineer, scrape, or abuse the Service
  • Not share your account credentials with unauthorized users

9. Acceptable Use

You may not use the Service to:

  • Violate any applicable law or regulation
  • Infringe on the intellectual property rights of others
  • Distribute malware, spam, or harmful content
  • Attempt to gain unauthorized access to our systems or other users' accounts
  • Use automated tools to exceed your plan's clip or query limits

10. Service Availability

We strive to maintain 99.9% uptime but do not guarantee uninterrupted service. Scheduled maintenance will be announced in advance. We are not liable for temporary service interruptions caused by factors beyond our reasonable control, including but not limited to:

  • Cloud provider outages (AWS, Supabase)
  • LLM provider disruptions (OpenRouter, OpenAI, Anthropic)
  • Network failures or distributed denial-of-service attacks

11. Intellectual Property

Your Content: You retain all rights to the content you clip and the wiki pages generated. Since wiki content is stored in your own cloud storage, you have full control over your data.

Our IP: The Synapki software, branding, logos, and proprietary algorithms remain the intellectual property of Synapki. You are granted a limited, non-exclusive, non-transferable license to use the Service for personal or commercial purposes as defined by your subscription tier.

12. Limitation of Liability

To the maximum extent permitted by law, Synapki shall not be liable for:

  • Data loss in your cloud storage (Google Drive, Dropbox, OneDrive)
  • Service interruptions or downtime
  • Accuracy of AI-generated wiki content
  • Indirect, incidental, or consequential damages

Our total liability shall not exceed the amount you paid for the Service in the 12 months preceding the claim.

13. Termination

We may terminate or suspend your account for violations of these Terms. You may terminate at any time by deleting your account from Settings. Upon termination:

  • All metadata associated with your account will be deleted from our database
  • All extension tokens will be invalidated
  • Your Stripe subscription will be cancelled
  • All OAuth connections will be revoked
  • Your wiki content in your cloud storage remains unaffected

14. Privacy

Our collection and use of personal data is described in our Privacy Policy and Cookie Policy. By using the Service, you consent to our data practices as described in those policies.

15. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved in the courts of Delaware.

16. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated via email at least 30 days before they take effect. Continued use of the Service after changes constitutes acceptance of the updated Terms.
